(the “Company”), which was adjourned to October 29, 2025 has been canceled due to technical difficulty outside of the Company’s control with stockholders being unable to vote all of their shares. The Company has decided to cancel the adjourned Special Meeting scheduled for today, October 29, at 12pm ET and to set a new record date of October 29, 2025 for a new Special Meeting of Stockholders to take place on December 3, 2025. The Company will issue new proxy materials to all stockholders of record as of the new record date in connection with this meeting. The Company encourages all stockholders to vote their shares promptly upon receipt of the proxy materials.
